01 Acceptance of These Terms

These Terms of Use (“Terms”) govern your access to and use of apexnarrativegroup.com and any related pages, forms and content we operate (the “Site”).

Please read Section 12 carefully. It requires most disputes to be resolved by binding individual arbitration and waives your right to a jury trial and to participate in a class action.

02 Who May Use the Site

You must be at least 18 years old and able to form a binding contract. The Site is intended for business and professional use and is directed to users in the United States. We make no representation that the Site or our services are appropriate or available in other jurisdictions.

03 The Site Is Informational

The Site describes our capabilities. It is not an offer to contract, and nothing on it creates a client relationship.

Any engagement between you and Apex is governed exclusively by a separate written agreement — a master services agreement, statement of work, or proposal signed by both parties. If anything on the Site conflicts with a signed agreement, the signed agreement controls.

Pricing, scope, timelines, deliverables and service levels are established in that agreement, not here.

04 Intellectual Property

The Site and all of its content — text, copy, design, layout, graphics, logos, marks, illustrations, video, code, structure, and the selection and arrangement of all of it — are owned by Apex or its licensors and are protected by United States and international copyright, trademark, trade dress and other intellectual property laws.

Limited license

We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your own internal business evaluation. You may print or download individual pages for that purpose, provided you keep all proprietary notices intact.

What you may not do

  • Reproduce, republish, distribute, publicly display or create derivative works from Site content;
  • Use Site content to train, fine-tune or ground a machine learning or generative AI model;
  • Scrape, crawl, harvest, index or mine the Site by automated means, except by mainstream search engines respecting our robots.txt;
  • Frame, mirror or embed the Site or present it as your own;
  • Remove or obscure any copyright, trademark or other proprietary notice;
  • Reverse engineer or attempt to derive source code from the Site.

Trademarks

APEX NARRATIVE GROUP, the Apex “A” mark, and Control the Narrative. Own the Market. are trademarks or service marks of Apex [insert (TM) or (R) as applicable once registration status is confirmed]. You may not use them without our prior written permission. Third-party names and marks appearing on the Site belong to their respective owners and are used for identification only; their appearance does not imply endorsement or affiliation.

05 Your Submissions and Feedback

When you submit information through a form, email or other channel, you represent that it is accurate and that you have the right to provide it. Personal information you submit is handled under our Privacy Policy.

Feedback

If you send us ideas, suggestions or feedback about our services or the Site, you grant Apex a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction, obligation or compensation to you. Do not send us anything you consider confidential or proprietary unless we have a signed confidentiality agreement in place.

06 Prohibited Conduct

You agree not to:

  • Use the Site for any unlawful purpose or in violation of these Terms;
  • Submit false, misleading or fraudulent information, or impersonate any person or entity;
  • Submit another person's contact information without their permission, or consent to marketing communications on behalf of a phone number or email address you do not control;
  • Introduce malware, or attempt to gain unauthorized access to the Site, its servers or any connected system;
  • Interfere with or disrupt the Site, including through excessive automated requests;
  • Probe, scan or test the vulnerability of the Site without our prior written authorization;
  • Use the Site to send unsolicited commercial messages or to collect contact information for that purpose.

We may investigate suspected violations, restrict or terminate access, and report conduct to law enforcement.

07 Electronic Communications and E-SIGN Consent

By using the Site or providing your contact information, you consent to receive communications from us electronically, including by email and, where you have separately opted in, by text message.

You agree that electronic records and signatures satisfy any legal requirement that a communication be in writing, and that checking a box, clicking a button or typing your name constitutes your signature under the federal E-SIGN Act and the Florida Uniform Electronic Transaction Act.

Marketing communications are optional. Your consent to receive automated marketing calls or texts is not a condition of purchasing any goods or services. You may withdraw it at any time — unsubscribe in any email, reply STOP to any text, or contact us. See our SMS Terms and Privacy Policy.

To receive electronic communications you need a device with internet access and a current browser or email client. You may withdraw consent to electronic communications generally by writing to hello@apexnarrativegroup.com, though doing so may prevent us from providing certain services.

08 No Guaranteed Results

Marketing outcomes depend on factors outside our control — your market, your offer, your pricing, your competitors, your sales process, platform algorithm changes, and general economic conditions among them.

Apex makes no representation, warranty or guarantee regarding rankings, impressions, reach, leads, appointments, conversion rates, return on ad spend, revenue, or any other performance outcome.

Any case study, example, projection, benchmark or illustrative figure on the Site is for illustration only, describes what has been achieved under particular circumstances, and is not a promise or prediction of what you will achieve. Content marked as a placeholder is illustrative and does not describe an actual engagement.

Content on the Site is general information about marketing and communications practice. It is not legal, regulatory, medical, financial, tax or accounting advice, and it does not substitute for advice from a qualified professional in your jurisdiction. You are responsible for your own compliance with laws governing your industry, including advertising substantiation, professional advertising rules and, where applicable, HIPAA.

09 Third-Party Content and Links

The Site may link to or display content from third parties. We do not control that content, do not endorse it, and are not responsible for it. Following a link is at your own risk and subject to the third party's own terms and privacy policy.

10 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

APEX DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR ITS SERVERS ARE FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS OR RELIABILITY OF ANY CONTENT.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the above exclusions apply to the fullest extent permitted.

11 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APEX AND ITS OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AGENTS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

These limits apply to your use of the Site. Liability arising under a signed services agreement is governed by that agreement.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. In those jurisdictions, our liability is limited to the fullest extent permitted.

12 Governing Law and Dispute Resolution

Governing law

These Terms and any dispute arising out of them are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, and by applicable United States federal law.

Informal resolution first

Before filing a claim, you agree to contact us at legal@apexnarrativegroup.com and give us 30 days to resolve the dispute informally. Most matters are resolved this way.

Binding individual arbitration

If we cannot resolve a dispute informally, you and Apex agree that any dispute arising out of or relating to these Terms or the Site will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules (for individuals) or Commercial Arbitration Rules (for businesses). The arbitration will be seated in Broward County, Florida, or conducted remotely at your election. The Federal Arbitration Act governs this section.

Class action waiver. You and Apex agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not consolidate claims or preside over a class proceeding. If this waiver is found unenforceable as to a particular claim, that claim — and only that claim — will proceed in court.

Exceptions. Either party may bring an individual action in small claims court, and either party may seek injunctive relief in court to protect intellectual property rights.

Opt out. You may reject this arbitration agreement by emailing legal@apexnarrativegroup.com with your name and “Arbitration Opt-Out” within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms.

Venue for claims not subject to arbitration

Any claim not subject to arbitration will be brought exclusively in the state or federal courts located in Broward County, Florida, and you consent to their personal jurisdiction.

Time limit

Any claim arising out of the Site must be brought within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.

13 Indemnification

You agree to indemnify, defend and hold harmless Apex and its officers, members, managers, employees, contractors and agents from any claim, demand, loss, liability, damage, cost or expense (including reasonable attorneys' fees) arising out of or relating to your use of the Site, your violation of these Terms, your violation of any law, or your violation of the rights of any third party.

14 Copyright Complaints (DMCA)

If you believe content on the Site infringes your copyright, send a written notice to our designated agent containing: (1) your physical or electronic signature; (2) identification of the copyrighted work; (3) identification of the material you claim is infringing and its location; (4) your contact information; (5) a statement that you have a good-faith belief the use is not authorized; and (6) a statement, under penalty of perjury, that the information is accurate and you are authorized to act.

15 General Provisions

Changes. We may modify these Terms at any time by posting a revised version with an updated date. Material changes take effect 30 days after posting. Your continued use after that constitutes acceptance.

Availability. We may modify, suspend or discontinue the Site or any part of it at any time without notice or liability.

Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remainder will stay in effect.

No waiver. Our failure to enforce a provision is not a waiver of it.

Assignment. You may not assign these Terms without our written consent. We may assign them freely, including in connection with a merger or sale of assets.

Entire agreement. These Terms, together with our Privacy Policy, SMS Terms and Cookie Policy, are the entire agreement between you and Apex regarding the Site, and supersede all prior understandings about it.

Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
